Terms of Purchase and Sale

  1. DEFINITIONS

    1.1. Seller - MB Balticshea, legal entity code 305945133, address Striūpų 11, Šakiai.

    1.2. E-shop - this online store located at www.balticshea.com.

    1.3. You / Buyer - refers to:
    1) an individual legally able to enter into transactions and purchasing goods for personal use (not for business purposes),
    2) a legal entity from the Republic of Lithuania purchasing goods as an end consumer, intending to use them for purposes unrelated to resale or business activities,
    3) authorized representatives of the aforementioned entities.

    1.4. Rules - these terms that define the rights and responsibilities of the Buyer and Seller, terms of goods and services purchase, payment, delivery, return, and other related provisions.

    1.5. Parties - collectively or individually refer to the Buyer and the Seller.

    1.6. Goods / Services - anything offered for sale in the E-shop. The term “goods” also includes services where applicable.

  2. GENERAL PROVISIONS

    2.1. These Rules constitute a binding legal document that defines the rights, responsibilities, and terms related to purchasing goods or services from the Seller via the E-shop.

    2.2. To purchase from the E-shop, the Buyer must agree to these Rules. By confirming their agreement, the Buyer undertakes to comply with them.

    2.3. The Buyer acknowledges that they meet the definition of the Buyer as outlined in these Rules.

    2.4. The Seller reserves the right to modify the Rules at any time. Changes take effect upon being posted on the website. Continued use of the E-shop after the updates is considered acceptance of the changes.

  3. FORMATION OF A PURCHASE-SALE AGREEMENT

    3.1. Both registered and unregistered users can shop in the E-shop.

    3.2. A purchase-sale agreement is formed between the Seller and Buyer when:
    (i) the Buyer places an order and selects items in the shopping cart,
    (ii) selects a delivery or pick-up option,
    (iii) chooses a payment method and completes the payment.

    3.3. The Seller confirms the order by sending a confirmation message via email or phone, or by issuing an invoice.

    3.4. The Seller may send additional notifications, such as payment confirmation or updates.

  4. BUYER'S RIGHTS

    4.1. The Buyer is entitled to purchase from the E-shop, adhering to these Rules and relevant laws of Lithuania.

    4.2. The Buyer may withdraw from the purchase-sale agreement within 14 days as stipulated by the Civil Code of the Republic of Lithuania.

    4.3. The Buyer has the right to return or replace defective or improperly packaged goods.

  5. BUYER'S OBLIGATIONS

    5.1. The Buyer must pay for the ordered goods and delivery, as well as any applicable return costs.

    5.2. The Buyer agrees to accept the ordered goods in accordance with the chosen delivery method.

    5.3. Upon receiving the goods, the Buyer is obliged to inspect them for any defects or discrepancies.

  6. SELLER'S RIGHTS

    6.1. The Seller has the right to temporarily suspend or terminate the operation of the E-shop without prior notice.

    6.2. The Seller has the right to contact the Buyer if there are any order-related questions.

  7. SELLER'S OBLIGATIONS

    7.1. The Seller must respect the Buyer’s privacy and safeguard their data.

    7.4. The Seller is obligated to deliver the ordered goods as per the Buyer’s chosen delivery method.

  8. PRICES AND PAYMENT PROCEDURE

    8.1. All prices in the E-shop are indicated in euros, including VAT.

    8.2. The Buyer may pay via online banking, PayPal, or credit card.

    8.3. The goods are sold at prices valid at the time the order is placed.

  9. DELIVERY AND COLLECTION OF GOODS

    9.1. The Buyer can choose the delivery method, such as using a parcel locker.

    9.2. If the Buyer selects delivery, the Seller may deliver the goods personally or via courier.

    9.3. Delivery fees and times may be adjusted at the Seller’s discretion.

  10. RETURN AND EXCHANGE OF GOODS

  1. BUYER'S DATA PROTECTION AND PRIVACY POLICY

11.1. The Seller ensures the protection of the Buyer's data and privacy when using the E-shop. The privacy policy is outlined at https://balticshea.com/privatumo-politika.

  1. MARKETING

12.1. The Seller may run promotions, apply discounts, and make changes to these without prior notice.

  1. LIABILITY

13.1. The Buyer is responsible for using the E-shop in compliance with legal regulations and the Rules.

13.2. The Buyer is responsible for the accuracy of the data they provide.

13.3. The Buyer is responsible for the security of their registration data.

13.3 The Seller is not responsible for any other losses of the Buyer or third parties arising from the improper provision of services or the sale of goods, unless the damage was caused by intentional actions of the Seller or by gross negligence.

13.4 The Buyer is responsible for ensuring that the login data to the e-shop (if applicable) are not disclosed to third parties. The Buyer is fully responsible for any actions performed on the e-shop using their login credentials. If the Buyer loses their login data, they must inform the Seller immediately.

13.5 If the Seller's e-shop contains links to websites of other companies, institutions, organizations, or individuals, the Seller is not responsible for the content or activities on such websites.

13.6 In the event of damage, the party that caused it compensates the direct losses of the other party.

13.7 The Seller is not responsible for disruptions in the e-shop’s operation or issues with its use due to failures in the internet connection, third-party service provider malfunctions, or other circumstances beyond the Seller’s control.

13.8 The Seller is not responsible for failure to fulfill or improper fulfillment of the purchase-sale agreement if it happened due to force majeure circumstances. Force majeure circumstances are considered any unforeseen and uncontrollable circumstances that the Seller could not manage or predict, such as acts of war, natural disasters, epidemics, pandemics, laws or other legal acts passed by governmental authorities that change the conditions of the agreement's execution, etc.

14. Final Provisions

14.1 These Terms and Conditions are prepared in accordance with the laws of the Republic of Lithuania.

14.2 The law of the Republic of Lithuania applies to these Terms and Conditions. All disputes arising from the execution of these Terms and Conditions shall be resolved by negotiation. If an agreement cannot be reached, disputes are settled in accordance with the laws of the Republic of Lithuania in courts based on the Seller’s location.
